RISK DISCLOSURE

Users are required to evaluate the following considerations, among others, carefully before making a decision to participate in the opportunities appearing on this Platform for partnership in LLPs owning real estate assets . Prospective partners should give careful consideration to the following actual and potential risk factors in evaluating the merits and suitability of the opportunity appearing herein. The risks and facts set forth below are not exhaustive, additional risks and uncertainties not presently known or deemed immaterial with respect to participation in the opportunity may exist. Prospective partners should have the financial ability and willingness to accept the risks and lack of liquidity, which are characteristics of the opportunites described herein. There will be no public market for the resale of the opportunity.

Because of the uncertainties and subjective judgments inherent in selecting opportunities and the assumptions made; and because future events and circumstances cannot be predicted, there can be no assurance that the desired expected results of the opportunity will be achieved. The actual results may differ materially. In making the decision to participate , prospective partners must rely on their own examination of the opportunity and the terms of the offering, including the merits and risks involved.

While we will take reasonable care in developing and making recommendations to LLPs owning the real estate, all real estate purchase involve risk and you may lose money. There is no guarantee that you will meet your goals by participating in the opportunity presented on our Platform. It is the responsibility of any prospective partners visiting this Platform and wishing to make an application for partnership in the opportunity appearing herein to inform themselves of and to observe all applicable laws and regulations of India. Specific risks include, but are not limited to, the following:

Data and Forecasts.
Market data and certain industry forecasts used in forecasts for an opportunity are obtained from market research, publicly available information and industry publications. Industry publications generally state that the information they contain has been obtained from sources believed to be reliable, but that the accuracy and completeness of that information is not guaranteed. Similarly, industry forecasts and market research, while believed to be reliable contain disclaimers regarding their accuracy

Forward-looking statements.
In continuance of the above, price forecasts made are based on numerous assumptions, present and future business strategies, and the environment in which the opportunity will operate in the future. Real Estate Ownership in General.
The opportunities we recommend and which have ownership of a seemingly profitable underlying real estate asset will be subject to the risks generally incident to the ownership, operation and development of real property. Because real estate, like many other types of assets , historically has experienced significant fluctuation and cycles in value, specific market conditions may result in occasional or permanent reductions in the value of the underlying assets.

 

Term of Holding.
Each opportunity will set out a minimum lock-in period of anywhere between 12 months to 18 months. Although, it is anticipated that based on forecast of sales at the time of making the opportunity available on the platform, the underlying asset should be re-sold within such time , it is possible that there could be delay for various reasons that could be beyond our control.

 

Illiquidity of contributions- No Public Market Available.
Participation in opportunities and thereby the underlying real estate assets we recommend maybe illiquid and may not realize their market price in a given frame of time. Partnership in a LLP whose objective is to make gains from transacting in real property is directly affected by the value of the real property and market conditions. Liquidity cannot be guaranteed and is only available to the extent there is interest from a suitable buyer. As a result, opportunities herein are not suitable for those who need liquidity.

 

Minority Stake or Interest and Inability to Exercise Control.
Participation in a particular opportunity may represent a minority stake or Interest that cannot accord the control characteristics of majority or controlling stakes in the LLP or otherwise exert significant influence on its management.

 

General Macroeconomic Conditions.
General macroeconomic conditions, such as interest rates, inflation rates, availability of credit and alternate sources of financing, trade barriers and participation by other categories of investors may impact the opportunity’s level of success, and the liquidity of underlying real estate assets therein may be affected by uncertainties such as changes in governmental policies, taxation, restrictions on foreign investment, other laws and regulations and currency fluctuations. Volatility could impair the opportunity’s profitability or result in losses.

 

Changes in Indian Laws and / or Regulations.
Legal and regulatory changes could occur, adversely affecting the value of the real property or the expenditure of the asset owning LLP. Changes in regulations may adversely affect the value of the underlying real estate asset and projections.

 

Reliance on LLP Manager.
The LLP manager arranges for support in accounting, tax and other administrative services to the LLP holding the real estate asset. The General Services Agreement lays down the rights and duties of LLP Manager and the full extent of its obligations regarding the reporting in respect of the opportunity to LLP partners as well as certain other services provided by the LLP Manager. The General Services Agreement contains limitations on the liability of LLP Manager and its affiliates.

 

Operational Risks.
The LLP manager’s systems and operations are dynamic and complex. Certain of its operations interface with third parties and / or depend on systems operated by third parties and the LLP manager may not be able to quantify the risks or verify the reliability of such third-party systems. Certain operational risks may be intrinsic to the LLP Manager’s operations and may impact its financial, accounting or data processing or other systems, especially given the volume, diversity and complexity of daily transactions. Except as it may be contractually agreed, the LLP Manager will not be responsible for any losses resulting from technological errors and similar human errors.

 

Professional Advice.
While the LLP manager will consult counsels, accountants and other experts regarding the structure, terms, and operation of the LLP holding the real estate assets, such counsels and other professionals will not represent prospective Partners. The LLP and LLP Manager urge each prospective partner to consult its own legal, tax and financial advisers regarding the desirability, suitability and appropriateness of participating in the opportunity. In making the decision to participate in the opportunity, prospective partner must rely on their own examination of the opportunity and the terms of the offering, including the merits and risks involved.

 

Natural or Man-Made Disasters.
The occurrence of natural disasters, including hurricanes, floods, earthquakes, tornadoes, fires, explosions, pandemic diseases and manmade disasters, including acts of terrorism and military actions, could have a negative impact on Indian economy and could affect the performance of the real estate market in general, which in turn may adversely impact the performance of the opportunity.
